Terms of Service

These terms cover use of the SecondDesk platform — the operational software and messaging infrastructure we provide to service businesses. By creating an account or using the service, you agree to these terms.
The service
SecondDesk is operational coverage software. It detects missed inbound calls, sends a configured follow-up text message, and routes the resulting conversation into an operator inbox. SecondDesk is not a phone system, voice carrier, or call-center platform.
Eligibility and accounts
You must be authorized to act on behalf of the business you onboard. You are responsible for keeping login credentials secure and for activity that occurs under your account.
Operator responsibility for lawful messaging
SecondDesk facilitates operational communication on your behalf. You are responsible for:
- Ensuring your use of the service complies with the TCPA, CTIA guidelines, applicable carrier requirements, and local law.
- Obtaining lawful consent where required for outbound messages initiated outside a customer-initiated interaction.
- Honoring opt-outs (STOP, UNSUBSCRIBE, CANCEL, END, QUIT) and providing assistance on HELP.
- The accuracy of business information you provide for carrier registration (A2P, brand, campaign).
Acceptable use
You agree to follow our Acceptable Use Policy. SecondDesk is for operational customer communication. It is not a marketing platform, a lead-resale tool, or a bulk outreach system.
Pilot and early access
Some features are offered as pilot or early-access functionality. We may adjust pricing, limits, or features during pilot periods with reasonable notice.
Message delivery
Message delivery depends on third-party carriers, recipient devices, and network conditions. We do not guarantee delivery, response, or timing of any individual message.
Uptime
We work to keep the service reliable, but we do not warrant uninterrupted availability. Scheduled maintenance, third-party outages, and force-majeure events may interrupt service.
Suspension and termination
We may suspend or terminate accounts that violate these terms, the Acceptable Use Policy, or carrier requirements, or that pose risk to the platform, recipients, or other operators. You may cancel your account at any time from within the product.
Prohibited usage
You may not use SecondDesk for spam, unsolicited marketing, deceptive messaging, phishing, harassment, illegal content, lead resale, political campaigning, affiliate promotion, or messaging based on purchased contact lists. See the Acceptable Use Policy for the full list.
Fees
Subscription fees are billed per the plan you select. Carrier and messaging surcharges may apply where disclosed. Fees are non-refundable except where required by law.
Intellectual property
The platform, its UI, and its underlying software are owned by SecondDesk. You retain ownership of your business content. You grant us a limited license to process that content solely to operate the service.
Disclaimer of warranties
The service is provided as-is and as-available, without warranties of any kind, express or implied, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, SecondDesk's aggregate liability arising out of or relating to the service shall not exceed the fees you paid to SecondDesk in the twelve months preceding the event giving rise to the claim. SecondDesk is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost opportunities, or lost data.
Changes
We may update these terms as the product evolves. Material changes will be communicated to active operators.
